1. Acceptance of Terms

By accessing or using StyldBy, operated by Twiss Mystic LLC ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service and all applicable laws. If you do not agree, you may not use our platform.

2. Eligibility

You must be at least 18 years old to create a Stylist account and use the services. By using StyldBy, you represent that you meet these requirements.

3. Role of StyldBy

StyldBy provides a software platform for independent stylists to offer services to clients. We are not a party to, nor responsible for, any transactions, communications, or disputes between stylists and clients. We do not process refunds on behalf of stylists or clients.

4. Direct-Pay Marketplace Model

StyldBy operates as a direct-pay marketplace that facilitates connections between independent stylists and clients. We provide software tools for profile creation, service listings, communication, and project management, but we are not involved in the actual business transactions between users.

Key aspects of our marketplace model:

  • StyldBy does not process, hold, escrow, or verify payments between users
  • All financial transactions occur directly between stylists and clients
  • Users are solely responsible for payment methods, amounts, and timing
  • StyldBy does not monitor payment completion or delivery deadlines
  • We do not provide payment protection, buyer guarantees, or seller assurances
  • Users engage in business relationships independently of StyldBy

By using our platform, you acknowledge that StyldBy's role is limited to providing the technological infrastructure for user connections and communications.

5. Payment Processing Disclaimer

StyldBy does not process any payments between users. All payment transactions are conducted directly between stylists and clients using their chosen payment methods (Venmo, Cash App, PayPal, etc.).

Important payment disclaimers:

  • StyldBy has no access to, control over, or responsibility for user payment accounts
  • We do not verify payment completion, amounts, or authenticity of payment receipts
  • Payment disputes must be resolved directly between the parties involved
  • StyldBy cannot issue refunds, process chargebacks, or reverse transactions
  • We do not guarantee payment security or protect against payment fraud
  • Users assume all risks associated with their chosen payment methods
  • StyldBy disclaims all liability for payment-related issues, including non-payment, incorrect amounts, or fraudulent transactions

Users are solely responsible for verifying payment details, maintaining secure payment practices, and resolving any payment-related disputes.

6. Service Delivery and Timelines

StyldBy does not monitor, enforce, or guarantee service delivery timelines. All service commitments, deadlines, and delivery schedules are agreements made directly between stylists and clients.

Service delivery disclaimers:

  • StyldBy does not track project progress or delivery deadlines
  • We do not send reminders, notifications, or enforcement actions for overdue deliveries
  • Service quality, completion standards, and delivery methods are determined solely by the contracting parties
  • StyldBy has no obligation to mediate delivery disputes or enforce service agreements
  • We do not guarantee that stylists will complete services as promised
  • Users assume all risks related to service delivery, quality, and timing
  • Platform access may continue regardless of pending or overdue deliveries

If service delivery issues arise, users must resolve them directly. StyldBy's involvement is limited to providing communication tools and, in extreme cases of platform abuse, account action.

7. Dispute Resolution and Platform Limits

Users are expected to resolve all business disputes directly with each other. StyldBy's role in disputes is extremely limited and discretionary.

Dispute resolution framework:

  • Primary resolution: Users must attempt direct communication and resolution
  • StyldBy does not mediate payment disputes, service quality issues, or delivery problems
  • Our support team may provide general guidance but cannot make binding decisions
  • We do not investigate individual transaction details or determine fault
  • Account suspension/termination is reserved for clear platform violations or patterns of abuse
  • StyldBy cannot compel users to complete transactions, issue refunds, or modify services

Escalation to StyldBy support should only occur for:

  • Technical platform issues
  • Clear violations of platform rules (fraud, harassment, etc.)
  • Safety concerns requiring immediate attention

Users acknowledge that most business disputes fall outside StyldBy's scope and must be resolved independently or through appropriate legal channels.

8. User Responsibilities and Account Standards

All users are independent contractors responsible for their own business practices, legal compliance, and professional conduct.

User responsibilities include:

  • Providing accurate profile information and service descriptions
  • Communicating clearly about services, pricing, and timelines
  • Conducting secure and legal payment transactions
  • Resolving business disputes professionally and directly
  • Maintaining appropriate records for their business activities
  • Complying with applicable tax and business licensing requirements

Account suspension or termination may occur for:

  • Fraudulent profile information or misrepresentation
  • Pattern of business disputes indicating bad faith dealing
  • Harassment, threats, or abusive behavior toward other users
  • Violation of platform technical rules or security policies
  • Illegal activity conducted through platform communications

StyldBy reserves the right to suspend or terminate accounts at our discretion, but such actions do not constitute a determination of fault in business disputes between users.

9. Subscriptions

Stylists pay a subscription fee to access the platform. Subscriptions renew automatically unless cancelled. All fees are non-refundable.

10. Prohibited Use

Users agree not to misuse the platform, including but not limited to: providing fraudulent information, failing to deliver services, or violating intellectual property rights. We reserve the right to suspend or terminate accounts.

11. Limitation of Liability

To the fullest extent permitted by law, Twiss Mystic LLC and StyldBy shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to:

  • Payment disputes, non-payment, or fraudulent transactions between users
  • Service delivery failures, delays, or quality issues
  • Business relationship disputes between stylists and clients
  • Loss of income, business opportunities, or reputational damage
  • Unauthorized access to user accounts or payment information
  • Technical platform issues affecting user transactions
  • Third-party payment processor failures or limitations
  • User reliance on platform-facilitated communications or agreements

Indemnification: Users agree to indemnify and hold harmless StyldBy from any claims, damages, or expenses arising from their business relationships with other platform users, including but not limited to payment disputes, service delivery issues, and contractual disagreements.

Maximum Liability: In no event shall StyldBy's total liability to any user exceed the amount of subscription fees paid by that user in the twelve (12) months preceding the claim.

This limitation applies regardless of the legal theory upon which the claim is based and even if StyldBy has been advised of the possibility of such damages.

12. Governing Law

These Terms are governed by the laws of the State of Colorado, United States. Any disputes shall be resolved exclusively in the courts located in Denver, Colorado.
